1. Introduction
These Terms of Service ("Terms") govern your use of all products and services provided by Groundwork Analytics LLC ("Groundwork Analytics," "we," "us," or "our"), including but not limited to:
- The petropt.com website and all subdomains (including tools.petropt.com, las.petropt.com, app.petropt.com, and any future subdomains)
- tools.petropt.com (free and paid online engineering tools, including Decline Curve Analyzer, Well Economics Calculator, and all current and future tools)
- app.petropt.com (application platform)
- las.petropt.com (LAS file viewer)
- The petro-mcp API and related developer tools (PyPI package and hosted API)
- petro-agents (downloadable open-source tools)
- jobs.petropt.ai (job matching platform)
- Any mobile applications, browser extensions, or desktop applications
- Consulting and professional services
- Online courses, newsletters, and educational content
- Any future products or services operated by Groundwork Analytics LLC
By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
2. Definitions
- "Services" — all products, tools, APIs, platforms, websites, and content provided by Groundwork Analytics
- "User," "you" — any individual or entity accessing our Services
- "Content" — any data, text, files, or materials you upload or submit to our Services
- "Output" — any results, calculations, reports, or data generated by our Services
3. Account Registration
Some Services may require account registration. You must be at least 16 years of age to use our Services. If you are under 18, you represent that you have your parent or guardian's consent. We do not knowingly collect data from children under 13.
You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use
- Accept responsibility for all activity under your account
4. Acceptable Use
You agree not to:
- Use our Services for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract source code from proprietary Services
- Interfere with or disrupt the integrity or performance of our Services
- Use automated systems to access our Services in a manner that exceeds reasonable request volumes or circumvents rate limits
- Resell, redistribute, or sublicense access to our Services without written permission
- Misrepresent outputs from our tools as certified engineering analysis
5. Engineering Calculations Disclaimer
This section applies to all engineering tools, APIs, and calculators including but not limited to: petro-mcp API, tools.petropt.com, petro-agents, and any downloadable scripts or notebooks.
All engineering calculations, analyses, and outputs provided through our Services are for screening-level purposes only. Specifically:
- Outputs are not a substitute for detailed engineering analysis performed by qualified professionals
- Outputs should not be used as the sole basis for design decisions, safety-critical decisions, investment decisions, or regulatory compliance
- All results should be independently verified by a qualified petroleum engineer or relevant domain expert before being used in any operational or financial decision
- Calculations may use simplified correlations, assumptions, or approximations that may not be appropriate for all conditions
- We make no representation that outputs are accurate, complete, or suitable for any particular purpose
You assume all risk associated with your use of engineering outputs from our Services.
No liability without written contract. Groundwork Analytics LLC accepts no liability whatsoever for the accuracy, completeness, or suitability of any calculation, analysis, output, or recommendation generated by any of our tools, APIs, platforms, or services — whether free or paid — unless a separate written contract has been executed between the User and a member, manager, director, or officer of Groundwork Analytics LLC that explicitly assumes such liability for a specific engagement. A paid subscription, API key, or account registration does not constitute such a contract.
AI and machine learning disclaimer. Certain Services use artificial intelligence, machine learning models, and automated algorithms to generate outputs, recommendations, and matches. AI-generated outputs may contain errors, inaccuracies, or biases. AI outputs do not constitute professional engineering advice, legal advice, financial advice, or employment recommendations. You are solely responsible for evaluating and verifying any AI-generated output before relying on it. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content.
6. API-Specific Terms (petro-mcp and related APIs)
If you access our Services through an API:
- Rate limits apply per subscription tier. Exceeding rate limits may result in throttling or suspension of access
- API keys are personal and non-transferable. You are responsible for all usage under your API key
- We reserve the right to modify, deprecate, or discontinue API endpoints with reasonable notice
- You may not use API access to build a competing product or service without written permission
- Bulk data extraction beyond normal usage patterns is prohibited
7. Pricing, Plans, and Service Availability
All services — including free tools, subscription tiers (Workspace, Pro, or any future plans), APIs, and platforms — are subject to change at our sole discretion. Specifically, we reserve the right to:
- Add, modify, or remove any tool, feature, or service at any time
- Convert free tools or features to paid, or paid features to a different tier
- Change pricing, billing frequency, usage limits, or tier structure for any plan
- Introduce, restructure, or discontinue subscription plans
- Introduce usage limits or require registration for previously unrestricted access
- Display attribution or promotional content alongside tool outputs
- Modify API rate limits, quotas, or access levels per tier
For paid subscribers: pricing changes take effect at your next billing cycle. We will provide reasonable notice (minimum 30 days) before increasing prices on active paid subscriptions. You may cancel before the new pricing takes effect.
Free tools and free-tier access carry no guarantee of continued availability. We may restrict, gate, or discontinue free access at any time without notice.
Refund Policy. All subscription fees are non-refundable. No refunds or credits will be issued for partial billing periods, downgrades mid-cycle, or unused features. If you cancel a subscription, you retain access through the end of your current billing period. We reserve the right to issue discretionary refunds on a case-by-case basis, which shall not create an obligation to do so in the future. Billing disputes must be raised with us at info@petropt.com within 30 days of the charge. If you initiate a chargeback or payment dispute with your bank or payment provider instead of contacting us first, we reserve the right to suspend your account and pursue recovery of the disputed amount plus any fees incurred.
8. Open-Source Software
Certain products (petro-mcp library, petro-agents) are released under the MIT License. For those products:
- The MIT License terms govern your use of the source code
- These Terms of Service additionally govern your use of any hosted or managed versions of those products (e.g., the petro-mcp hosted API)
- The engineering disclaimers in Section 5 apply regardless of license
9. Jobs Platform (jobs.petropt.ai)
For users of the jobs.petropt.ai platform:
- Job seekers: We do not guarantee employment outcomes. Job matches are AI-generated suggestions, not endorsements or guarantees of fit
- Employers: You are responsible for the accuracy of job postings and compliance with employment laws
- Resume data is processed for matching purposes as described in our Privacy Policy
- Premium subscription fees are billed monthly and may be cancelled at any time. No refunds for partial billing periods
10. Consulting Services
Consulting engagements are governed by individual Statements of Work (SOWs) or service agreements. In the event of conflict between these Terms and a signed SOW, the SOW prevails for that engagement.
11. Intellectual Property
- Our IP: All Services, branding, website content, proprietary algorithms, and course materials are owned by Groundwork Analytics LLC. All rights reserved
- Your data: You retain ownership of data you upload to our Services. By uploading, you grant us a limited license to process your data solely for the purpose of delivering the Service
- Open-source exceptions: Code released under open-source licenses (MIT) is governed by those license terms
- Outputs: You own the outputs generated from your data through our tools and APIs. We do not claim ownership of your results
12. Privacy and Data
Your use of our Services is also governed by our Privacy Policy. Key points:
- We do not sell your personal data
- Engineering data uploaded to our tools is processed only to deliver results and is not retained beyond your session unless you explicitly save it
- We may collect usage analytics to improve our Services
- For enterprise consulting engagements, data handling is governed by the applicable SOW or Data Processing Agreement
13. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim:
- Any warranty of merchantability or fitness for a particular purpose
- Any warranty that Services will be uninterrupted, error-free, or secure
- Any warranty regarding the accuracy or reliability of outputs or calculations
- Any warranty that our Services will meet your specific requirements
14. Limitation of Liability
To the maximum extent permitted by law, Groundwork Analytics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data
- Business interruption
- Costs of procurement of substitute services
- Damages arising from reliance on engineering calculations or outputs
Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Notwithstanding the foregoing, for engineering calculations and tool outputs, Section 5 governs and no liability attaches absent a written contract as described therein.
15. Indemnification
You agree to indemnify and hold harmless Groundwork Analytics LLC, its members, managers, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any reliance on engineering outputs or AI-generated content from our tools in operational, financial, or employment decisions
16. Modifications
We may update these Terms at any time. Material changes will be communicated via:
- A notice on petropt.com
- Email notification for registered users (where applicable)
Continued use of our Services after changes constitutes acceptance. If you disagree with updated Terms, discontinue use.
17. Termination
We may suspend or terminate your access to our Services at any time for violation of these Terms, with immediate effect. For paid accounts not in violation, we will provide at least 30 days' notice before termination. Upon termination:
- Your right to access the Services ceases immediately
- Provisions that by their nature should survive (disclaimers, liability limits, indemnification) will survive termination
- No refund will be issued for the remaining portion of any billing period
18. Dispute Resolution and Arbitration
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. For users outside the United States, these Terms shall be governed by Texas law to the maximum extent permitted by your local jurisdiction.
Binding Arbitration
Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Houston, Texas. The arbitrator's decision shall be final and binding.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Groundwork Analytics LLC.
Small Claims Exception
Either party may bring an individual action in small claims court if the claim qualifies under applicable jurisdictional limits.
19. Copyright and DMCA
If you believe content on our Services infringes your copyright, contact our designated agent at info@petropt.com with: (a) identification of the copyrighted work, (b) identification of the infringing material and its location, (c) your contact information, (d) a statement of good-faith belief that the use is not authorized, and (e) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf.
20. General Provisions
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Entire Agreement. These Terms, together with our Privacy Policy and any applicable Statement of Work, constitute the entire agreement between you and Groundwork Analytics LLC and supersede all prior agreements, representations, and understandings.
No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
Force Majeure. Groundwork Analytics LLC shall not be liable for any failure or delay in performing obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, third-party hosting outages, or cyberattacks.
